XtraClubs Founding Member Referral Leaderboard Terms and Conditions

Schedule — Club Details

These Terms and Conditions govern two separate competitions, one for each club listed below. Each club has its own leaderboard, its own Promotional Period and its own winner.

For the purpose of counting days, Opening Day is day 0. The 7th day after Opening Day is therefore the seventh day of trading following Opening Day, and the competition closes at midnight at the end of that day.

All times are Australian Eastern Time (AEST or AEDT, as applicable on the relevant date). The current dates for each competition are also displayed in the XtraClubs app.

1. Promoter

The promoter is Xtra Wellness Pty Ltd (ACN 667 066 659) trading as XtraClubs (“XtraClubs”, “we”, “our”, “us”).

2. Competition Type

This promotion is a game of skill. The winner at each club is determined solely by the entrant’s own skill and effort in referring new Founding Members during the Promotional Period. Chance plays no part in determining the winner.

3. Clubs and Separate Competitions

This promotion is run as two separate competitions:

a) the XtraClubs Canberra Founding Member Referral Leaderboard; and

b) the XtraClubs Parramatta Founding Member Referral Leaderboard.

Each competition has its own leaderboard, its own Promotional Period, its own winner and its own prize.

An entrant who holds a Founding Membership at both clubs may appear on both leaderboards. Their referrals are counted on the leaderboard of the club at which each referred person purchases their Founding Membership. Such an entrant may win only one prize: if they would otherwise win at both clubs, they receive the prize for the club at which they achieved the greater number of qualifying referrals (or, if equal, the club whose Promotional Period closed first), and the other prize passes to the next-ranked eligible entrant at that club in accordance with clause 12.

4. Promotional Period

For each club, the competition opens at 12:00am on the campaign start date set out in the Schedule, and closes at midnight at the end of the seventh (7th) day after that club’s Opening Day (“Promotional Period”).

“Opening Day” means the date on which the relevant club first opens its doors to members for general trading, as determined and notified by XtraClubs.

Because Opening Day depends on construction, fit-out, certification and approvals, the Opening Day for a club may change. If it does, that club’s Promotional Period, close time and Prize Period will move with it. XtraClubs will publish any change to the Opening Day at xtraclubs.au and notify entrants at that club by email and/or in the XtraClubs app.

Long-Stop Date. If a club has not opened by the Long-Stop Date set out in the Schedule, that club’s Promotional Period closes instead at midnight at the end of the Long-Stop Date, and the winner is determined on the leaderboard standing as at that time. Clause 11 then governs the prize.

Only referrals that become qualifying referrals (as defined in clause 7) during the Promotional Period will count. Referrals or sign-ups occurring outside the Promotional Period will not be considered.

5. Eligibility

Entry is open to individuals who:

a) are aged 18 years or older at the time their first referral is submitted;

b) are residents of Australia;

c) hold a paid Founding Membership at XtraClubs Canberra or XtraClubs Parramatta, active and not in default of any payment then due, both at the time each referral is submitted and at the close of that club’s Promotional Period; and

d) achieve at least one qualifying referral during the Promotional Period.

“Founding Membership” means a membership at XtraClubs Canberra or XtraClubs Parramatta purchased on or before the close of that club’s Promotional Period and recorded by XtraClubs in its systems as a founding membership for that club. Whether a membership is a Founding Membership is determined by XtraClubs’ records at the time of purchase and is not recalculated afterwards.

An entrant’s “Home Club” is a club at which the entrant holds a Founding Membership.

XtraClubs may require an entrant or winner to provide reasonable evidence of their identity, age and residence before a prize is awarded, and may withhold a prize until that evidence is provided.

The following persons are not eligible to enter:

• Directors, officers, employees and contractors of XtraClubs;
• Immediate family members of any director, officer, employee or contractor of XtraClubs; and
• Any person involved in the administration of the competition.

Immediate family includes spouse, de facto partner, parent, child, sibling or grandparent.

6. How to Enter

To enter, eligible Founding Members must, during the Promotional Period, refer one or more friends using the referral function in the XtraClubs app, by:

a) tapping the Invite icon and selecting Manage Referrals;

b) selecting Add a Referral and entering the friend’s name and mobile number; and

c) sending the referral invitation.

Referrals are attributed automatically by matching the mobile number recorded in the referral against the mobile number the referred person uses when purchasing their membership. The referral must be recorded in the XtraClubs app before the referred person purchases their membership. A referral recorded after that purchase, or recorded against a different mobile number from the one used at purchase, will not be attributed and will not count, regardless of any other arrangement between the entrant and the referred person.

An entry is taken to be received only when it is recorded in XtraClubs’ systems. XtraClubs is not responsible for referrals that are lost, delayed, misdirected, incompletely recorded or not received.

Entrants can view their current standing on their club’s leaderboard in the XtraClubs app. Other entrants appear as anonymised member codes. If an entrant believes a referral has been missed or wrongly attributed, they must contact XtraClubs at support@xtraclubs.au before the close of the Promotional Period. XtraClubs will consider requests received after close only at its discretion.

No separate registration is required. Making a qualifying referral during the Promotional Period constitutes entry into the competition and acceptance of these Terms and Conditions.

7. What Counts as a Qualifying Referral

A “qualifying referral” means a person who:

a) is referred by the entrant through the XtraClubs app’s referral function during the Promotional Period, and before that person purchases a membership;

b) was not an existing XtraClubs member, and had not previously held an XtraClubs membership, at the time of referral;

c) purchases a paid Founding Membership at one of the entrant’s Home Clubs during the Promotional Period;

d) still holds that Founding Membership at the close of the Promotional Period, active and not in default of any payment then due (and, where billing on that membership has not yet commenced, not having cancelled or withdrawn from the membership); and

e) is validly attributed to the entrant by XtraClubs through the referral function.

A qualifying referral is counted on the leaderboard of the club at which the referred person purchases their Founding Membership.

For clarity:

• A referral counts only when the referred person takes out a paid Founding Membership at one of the entrant’s Home Clubs. Waitlist registrations, expressions of interest, deposits not converted to a paid membership, session pack purchases, bookings, free trials, casual visits, memberships at any other XtraClubs location, and memberships at a Home Club that are not recorded as Founding Memberships, do not count.
• Only one qualifying referral is counted per referred person, regardless of how many times that person is referred or by whom. Where the same person is referred by more than one entrant, the referral is attributed to the first entrant whose valid referral resulted in the membership purchase.
• A referral will not count, or will be deducted, if the referred person’s Founding Membership is cancelled, refunded, reversed, charged back, lapses, or is found to be fraudulent or invalid at any time up to thirty (30) days after the close of the Promotional Period, or on the expiry of any applicable cooling-off period, whichever is later. Clause 13(g) applies to reversals discovered after that date.

8. How the Winner is Determined

This is a game of skill.

There will be one (1) winner at each club: the entrant with the highest number of qualifying referrals on that club’s leaderboard at the close of that club’s Promotional Period.

Tie-break. If two or more entrants at the same club finish with the same highest number of qualifying referrals, the winner will be the entrant who reached that number first, determined by the date and time at which each entrant’s final qualifying referral purchased their Founding Membership, as recorded by XtraClubs’ systems. If that time is also identical, the winner will be the entrant whose first qualifying referral was earliest. If the standings change after determination because of a deduction under clause 7, XtraClubs may re-apply this clause and clause 12.

Minimum. To be eligible to win, an entrant must have at least three (3) qualifying referrals.

If no entrant at a club achieves at least three (3) qualifying referrals, XtraClubs is not required to award the prize at that club, and may award a lesser prize or no prize. Any decision under this paragraph will be made reasonably and published at xtraclubs.au.

Determination. The winner at each club will be determined from XtraClubs’ systems at the promoter’s registered business address, within five (5) business days of the close of that club’s Promotional Period, by a panel of XtraClubs personnel not otherwise involved in administering the competition.

The winning entrant at each club will be verified by XtraClubs against its records before the prize is awarded. XtraClubs’ determination of the number, validity, attribution and timing of qualifying referrals is final, and no correspondence will be entered into except as provided in clause 6.

9. Prize

There is one (1) prize at each club, being two (2) prizes in total.

The winner at each club will receive:

Twelve (12) months of fee-free membership at the Thrive tier at that club (“the Prize”). The winner’s membership will be upgraded to the Thrive tier and recurring membership fees will not be charged for the duration of the Prize Period.

The estimated value of each prize is AUD $2,441.40 (inclusive of GST), being 52 weeks at the standard recommended retail Thrive rate at the date these Terms and Conditions were published. The total prize pool is AUD $4,882.80 (inclusive of GST). Actual value may vary, including because the winner’s own membership rate may differ from the recommended retail rate, and XtraClubs accepts no responsibility for any variation in value.

What is included. Recurring membership fees at the Thrive tier at the winner’s club for the Prize Period.

What is not included. Joining fees, activation fees and administration fees; personal training, coaching and paid classes or workshops; guest passes; merchandise, food and beverage; add-on services; and any charge that is not a recurring membership fee. These remain payable by the winner.

If the winner’s Founding Membership is already at the Thrive tier or higher, the Prize is twelve (12) months of fee-free membership at that existing tier. If the winner has prepaid membership fees covering any part of the Prize Period, XtraClubs will credit the prepaid amount for that part to the winner’s account.

The Prize:

• Is not transferable;
• Is not redeemable for cash;
• Cannot be exchanged for another product or service;
• Must be used by the winner personally;
• Is redeemable only at the club at which the winner won, except as provided in clause 11; and
• Is subject to the standard membership terms, opening hours, facility availability and health, safety and conduct rules of XtraClubs in force from time to time.

The Prize is separate from, and in addition to, any reward the entrant earns under the ongoing XtraClubs Member Referrals program (such as membership credit for each friend who signs up), and any benefit attaching to their Founding Membership.

At the end of the Prize Period, the winner’s membership will revert to the membership tier and rate applicable to their Founding Membership immediately before the Prize Period commenced, unless the winner elects otherwise. XtraClubs will notify the winner in writing at least fourteen (14) days before the Prize Period ends.

The winner is responsible for any tax consequences arising from accepting the Prize and should seek independent financial advice.

Use of the facilities is at the winner’s own risk. The winner may be required to complete a health declaration and acknowledge the venue’s safety conditions before using the facilities.

10. Prize Period

The Prize Period is twelve (12) consecutive months commencing on the eighth (8th) day after the relevant club’s Opening Day, being the day immediately following the close of that club’s Promotional Period.

No activation step is required by the winner. Recurring membership fees for the winner’s membership will not be charged for the Prize Period, and the Thrive tier will apply from the first day of the Prize Period.

If determination under clause 8 or notification under clause 12 is completed after the Prize Period has commenced, the Prize Period is not extended, and any recurring membership fees charged to the winner on or after the first day of the Prize Period will be refunded or credited to the winner’s account.

Where a prize passes to a substitute entrant under clause 12 or clause 13, that entrant’s Prize Period is twelve (12) consecutive months commencing on the date they are notified.

Unused entitlements expire at the end of the Prize Period and are not redeemable for cash or any other benefit.

11. Delay to, or Non-Occurrence of, an Opening Day

If a club’s Opening Day is delayed but the club opens on or before the Long-Stop Date, that club’s Promotional Period, close time and Prize Period shift accordingly under clause 4, and the Prize remains a full twelve (12) months of fee-free Thrive membership from the revised commencement date.

If a club has not opened by the Long-Stop Date, the competition closes on that date under clause 4 and the winner is determined in the ordinary way. XtraClubs will then, at its election and in consultation with the winner, either:

a) make the Prize redeemable at another XtraClubs location that is open and trading, on the same twelve (12) month fee-free Thrive basis, commencing on a date agreed with the winner; or

b) provide the winner with an alternative benefit of equal or greater value.

If the club subsequently opens, the winner may instead elect to take the Prize at that club, commencing on its Opening Day.

If a club does not open at all, XtraClubs will provide the winner with the alternative under paragraph (a) or (b) above.

12. Winner Notification

The winner at each club will be notified via email and/or telephone within five (5) business days of determination under clause 8, using the contact details associated with their XtraClubs account.

The winner must confirm their acceptance and provide any evidence required under clause 5 within fourteen (14) days of notification. The Prize Period commences under clause 10 whether or not that confirmation has yet been given.

If the winner cannot be contacted, does not respond within fourteen (14) days, is ineligible, or declines the Prize, XtraClubs may withdraw the Prize from that entrant and award it to the next highest-ranked eligible entrant at that club, applying the tie-break in clause 8 and the minimum of three (3) qualifying referrals. This process may be repeated, but no prize will be awarded later than three (3) months after the close of the relevant Promotional Period, after which the prize will not be awarded.

Each winner’s first name and suburb may be published at xtraclubs.au and/or on XtraClubs social media channels within thirty (30) days of the close of the relevant Promotional Period.

13. Prize Revocation

XtraClubs may withdraw, cancel or refuse redemption of the Prize at any time if:

a) the winner is found to have breached these Terms and Conditions;

b) the winner engages in conduct that, in the reasonable opinion of XtraClubs, is unlawful, abusive, threatening, discriminatory, violent, unsafe, fraudulent, or otherwise inappropriate;

c) the winner’s conduct has caused, or is reasonably likely to cause, reputational harm to XtraClubs, its directors, employees, contractors, members, partners or guests;

d) the winner is subject to a ban, suspension, membership termination or other restriction imposed by XtraClubs;

e) the winner’s Founding Membership is cancelled or terminated by the winner, or lapses;

f) XtraClubs reasonably believes the winner’s attendance may create a risk to the safety, wellbeing, enjoyment or comfort of other members or guests; or

g) after the deduction window in clause 7 has closed, one or more of the winner’s qualifying referrals is found to have been cancelled, refunded, reversed, charged back or invalid, and as a result the winner would not have been the highest-ranked eligible entrant.

In such circumstances, XtraClubs may cancel the Prize without compensation, and may award the Prize to another eligible entrant determined in accordance with clause 12.

Any decision under this clause will be made reasonably, and XtraClubs will give the winner written reasons on request.

14. Referral Conduct and Consent

By referring a person, the entrant warrants that:

a) they have a genuine personal or social connection with the referred person;

b) the referred person has consented to the entrant providing their name and mobile number to XtraClubs, and to being contacted by the entrant and by XtraClubs in connection with the referral; and

c) the referral details provided are true and accurate.

Entrants must not, and the following will result in disqualification and/or the disregarding of affected referrals:

• referring themselves, or creating or using fake, duplicate or fictitious identities, accounts or mobile numbers;
• referring existing or former members, or arranging sign-ups that are not genuine;
• purchasing, incentivising, spamming or otherwise artificially generating referrals or sign-ups;
• paying for, subsidising or reimbursing any part of a referred person’s Founding Membership; or
• engaging in any conduct designed to manipulate the leaderboard or gain an unfair advantage.

15. Publicity

By entering, each entrant consents to XtraClubs publishing their first name and suburb in connection with the competition under clause 12.

By accepting the Prize, the winner further consents to XtraClubs using the winner’s name, likeness and suburb for promotional, marketing and publicity purposes in any media, without further reference, payment or compensation, unless otherwise agreed in writing.

16. Marketing and Privacy

Personal information collected in connection with this promotion, including the personal information of referred persons, will be handled in accordance with XtraClubs’ Privacy Policy.

Information may be used for administering the competition and referral program, contacting entrants and referred persons, marketing communications, business planning and other purposes reasonably connected with XtraClubs’ operations.

Where an entrant provides a referred person’s name and mobile number, XtraClubs collects that information from the entrant rather than from the referred person. XtraClubs will take reasonable steps to notify the referred person of that collection, and of the matters required by Australian Privacy Principle 5, when it first contacts them.

Entrants and referred persons may request access to, or correction of, their personal information, or make a privacy complaint, by contacting privacy@xtraclubs.au.

By entering, entrants consent to receiving communications from XtraClubs by email, SMS, telephone and other permitted channels. Every commercial electronic message will identify XtraClubs and include a functional unsubscribe facility, and recipients may unsubscribe at any time.

17. Social Media

This promotion is in no way sponsored, endorsed, administered by, or associated with Meta Platforms, Inc. (Facebook, Instagram), TikTok, or any other social media platform. Each entrant releases those platforms from all liability in connection with the promotion and acknowledges that any information provided is provided to XtraClubs and not to the platform.

18. Disqualification

XtraClubs may verify the validity of entries and referrals and may disqualify any entrant who:

• Breaches these Terms and Conditions;
• Provides misleading information;
• Engages in fraudulent, dishonest or unfair conduct;
• Manipulates the entry, referral or attribution process; or
• Attempts to gain an unfair advantage.

19. Limitation of Liability

To the maximum extent permitted by law, XtraClubs excludes all liability for any loss, damage, expense or claim arising out of or in connection with:

• The promotion;
• Participation in the competition;
• Any delay to, or non-occurrence of, a club’s Opening Day;
• Acceptance or use of the Prize, including use of the sauna, ice bath and steam facilities; or
• Any technical, administrative or communication issues affecting entry, referral or attribution.

Nothing in these Terms excludes, restricts or modifies:

a) any consumer guarantee, right or remedy under the Australian Consumer Law that cannot be excluded, restricted or modified; or

b) liability for death or personal injury caused by XtraClubs’ negligence.

20. Cancellation or Modification

XtraClubs may amend, suspend, terminate or cancel this promotion at any time where reasonably necessary due to circumstances beyond its control, to protect the integrity of the promotion, or to comply with a written direction of a regulator or court.

Where the promotion is cancelled or terminated before a prize is awarded, no prize will be awarded and entrants will have no claim to any prize or compensation, except as required by law. Any reward already earned by an entrant under the standard XtraClubs Member Referrals program is unaffected.

Any decision under this clause will be published at xtraclubs.au and notified to affected entrants by email and/or in the XtraClubs app.

21. Governing Law

These Terms and Conditions are governed by the laws of New South Wales, Australia.

Entrants submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of the entrant’s state or territory of residence.
